Board MemberJames Brailean, Ph.D, is the chief executive officer of PacketVideo and the NextWave Mobile Products Division, and co-founder of PacketVideo. Inspired by a vision of powerful multimedia devices enabling new forms of mobile person-to-person communications, Brailean founded PacketVideo in 1998. Under Dr. Brailean's leadership, PacketVideo launched the world's first commercial end-to-end wireless mobile media delivery platform in 2000, and helped create a new industry for wireless multimedia communications. Now focused on software development for multimedia device innovation, PacketVideo has become the number one supplier of embedded multimedia solutions for mobile phones and other devices in the world. Prior to co-founding PacketVideo in 1998, Dr. Brailean was a principal staff engineer within Motorola Corporate Research and Development Laboratories in Chicago where he managed the Advanced Video Algorithm Group, responsible for the design and development of advanced video compression and imaging algorithms. He was also a communication system engineer for Hughes Aircraft, Space and Communications Group. Dr. Brailean is a recipient of the Lifetime Achievement Award from the Mobile Entertainment Forum for his contributions to the acceleration of the development and adoption of mobile multimedia services worldwide. |

Frank Creer

Board Member Frank, a founder and Managing Director of Zone Ventures, is an experienced venture capitalist and finance executive who has raised funds in both debt and equity for privately held companies. He has worked in management consulting for small to medium size technology businesses and has also placed financing for a diverse range of real estate developments. Frank worked in the Development group of a publicly traded company where he was involved in financial analysis and economic feasibility studies of proposed co-generation power projects. He is a Managing Director of Zone Ventures and a Partner in the Wasatch Venture Fund which he also co-founded in 1994. He currently sits on the Boards of Directors for Blue Falcon Networks, DivX, Inc., emWare, Inc., e-Style, Inc., Packet Air Networks, Vizional Technologies and zKey. Frank has a degree in Finance from the University of Utah. |

Fred Gerson

Board Member Fred was named Executive Vice President & Chief Financial Officer of the San Diego Padres on March 3, 2003. Fred originally joined the Padres in July of 2001 as Senior Vice President & CFO after serving as the chief financial officer for various high technology companies during the previous 22 years. Fred has been the CFO of four publicly traded companies, as well as several closely held entities. He has led successful initial public offerings for Maxis, Inc., a developer and publisher of consumer entertainment software including the popular Sim products and Marimba, Inc., a developer and marketer of software management solutions. Fred has also been the point man for the sale of two prominent companies to larger, publicly traded corporations. He currently serves on the Major League Baseball CFO Insurance Advisory Committee. In this capacity, he works closely with other senior baseball financial executives in shaping insurance products for the needs of the teams. In his relatively brief time in the professional baseball industry, he has demonstrated a special interest in and support of the Padres minor league and scouting systems. Fred, a CPA, began his career at Arthur Young & Company. With Arthur Young, he served as an audit manager for Intel, Apple Computer and Atari among other clients. As CFO of the Coin-Operated Games Division of Atari, Inc., he witnessed the success of such hit products as Asteroids, Missile Command and Centipede in his tenure. In addition, he was the CFO of Peter Norton Computing, Inc., the author of the Norton Utilities and several other companies. Fred received a B.A. in Economics from Brooklyn College and his M.B.A. from New York University. He and his wife Roben have two daughters, Hilary and Stacey and reside in La Jolla. |

Chief Executive OfficerKevin Hell is Chief Executive Officer of DivX, Inc. and a member of its Board of Directors. Over the past seven years, Hell has been instrumental in transforming DivX into a market leader in the rapidly emerging digital video market, connecting high quality Internet content with consumer electronics. He has served as DivX's Chief Marketing Officer, Chief Operating Officer and President, and was responsible for the growth of the company's highly profitable global consumer device licensing business. Under his leadership, DivX has become a strong global brand with an ecosystem that encompasses an installed base of hundreds of millions of devices, a large international community of DivX users, and formidable relationships with major consumer electronic companies and Hollywood studios. Since he joined the company in 2002, DivX has grown from under $3 million in annual revenue and 35 employees to $94 million in annual revenue and more than 300 employees by the end of 2008. Before joining DivX, Hell served as Senior Vice President of Product Management for Palm's Solutions Group, where he managed the Palm branded products and wireless services division worldwide. As the Vice President of the Connected Home for Gateway Computers, Hell was responsible for pioneering innovative digital home products beyond the PC. Hell also worked with The Boston Consulting Group for seven years assisting clients in the high-technology, telecommunications and entertainment markets. Earlier in his career, he served as a systems engineer with Hughes Aircraft Company responsible for overall mission design on numerous satellite and interplanetary spacecraft programs. While he is a veteran in the digital media and connected home markets, Hell also possesses an interest in film and movie making. He was the executive producer for the short film "Some Folks Call it a Sling Blade" that was the basis for the blockbuster film "Sling Blade" starring Billy Bob Thornton. Hell received an MBA in finance and management from The Wharton School of the University of Pennsylvania, and an MS and BS in engineering from Stanford University. |

Board Member As the CEO of Overture Films, Chris is responsible for all operations with an overall objective to green-light, produce, market and release 8-12 feature films per year across a broad array of film genres. Prior to assuming his current role as CEO of Overture Films, Chris served as senior advisor, New Ventures for Starz Media, and IDT Entertainment from March 2006 to November 2006. Chris is perhaps best known as vice chairman and COO of Metro-Goldwyn-Mayer Inc. from May 1999 until April 2005, acting as the company's lead operating executive until MGM was acquired by Sony Corporation in 2005. In addition to his Board responsibilities for DivX, Inc., Chris currently serves on the Board of Directors for DIC Entertainment and heads up the audit committee for DIC, an integrated children's entertainment content company. Chris also serves on the Board of Directors for BRE Properties, Inc., a publicly held real estate investment trust; and the Syracuse University School of Management. He formerly served on the Board of Advisors to the University of Chicago, Graduate School of Business. Chris received a Bachelor of Science degree, summa cum laude, from the Syracuse University School of Management and a Master of Business Administration degree from the University of Chicago, Graduate School of Business. |

In 1988, Jerry founded the Aspen Technology Group and served as its director until 1995. Board MemberJérome (aka "Gej") is the original designer of DivX technology and co-founder of DivX, Inc. An artist and an engineer, Gej held numerous positions at DivX and now serves on the Board of Directors. Gej's positions at DivX have ranged from managing the codec team in charge of the core DivX technology to Vice President of the Media Experience team, leading the team charged with bringing new platforms, products and services to the DivX community. Gej is a brilliant editor, compositing infographist, special effects designer and has extensive knowledge of video technologies. He has been involved in computing, graphics and digital video since the age of six, and was formerly technical director and chief infographist for a commercial design firm. Gej has traveled the globe as a DivX spokesperson and continues to be a technology visionary. |

Board Member Alex Vieux is the publisher of Red Herring and CEO of Red Herring Inc. Drawing on his expertise as a high-tech journalist, entrepreneur, professor, and advisor to the French government, he is responsible for steering the growth of the organization and guiding the publication's vision. He is also chairman, CEO, and founder of DASAR, an international organization producing exclusive IT conferences. Alex's contributions to the IT industry span more than 20 years and include co-founding two banking software companies, CATS and Renaissance Software, as well as DASAR. Repeatedly named by Time magazine as one of the top 25 people shaping a Digital Europe, Alex has been elected to the Board of Directors of ten public companies, including Tandem Computers (until the company's merger with Compaq), Computer Associates, Commerce One, BVRP, and Check Point Software. Additionally, Alex has joined as executive director of several international public and private companies, including Daum Communications, Kyriba, and Qualys. Alex has held positions at the Université de Paris-Dauphine and the Université de Paris-Sorbonne, lecturing on the development of the IT industry. He was a special advisor to the French Minister of Finance, Industry and Economics, from 1991 until 1993, and served as president of the French Republic's Infotech Commission between 1997 and 1999. Alex is a graduate of the Institute d'Etudes Politiques and the French business school HEC. He also holds a law degree from the Université de Paris and an MBA from Stanford University, where he was a Fulbright Scholar. |

Stockholders of DivX, Inc. ("DivX") wishing to communicate with DivX's Board of Directors (the "Board") or an individual director may send a written communication to the Board or such director c/o DivX, Inc., 4780 Eastgate Mall, San Diego, California 92121, Attn: Secretary. Each communication must set forth:
- the name and address of the DivX stockholder on whose behalf the communication is sent; and
- the number of DivX shares that are owned beneficially by such stockholder as of the date of the communication.
Each communication will be reviewed by DivX's Secretary to determine whether it is appropriate for presentation to the Board or such director. Examples of inappropriate communications include advertisements, solicitations or hostile communications.
Communications determined by the Secretary to be appropriate for presentation to the Board or such director will be submitted to the Board or such director on a periodic basis.
